1. Acceptance of Terms

By accessing or using AnyAIAgent ("the Service"), operated by Onyx Capital Holdings Group LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

AnyAIAgent provides a platform for deploying and managing AI agents powered by OpenClaw. The Service includes:

• AI agent deployment and management
• Multi-channel integrations (Telegram, WhatsApp, Discord, Slack, and more)
• Usage monitoring, analytics, and billing
• White-label customization
• BYOK (Bring Your Own Key) mode

3. Eligibility & Account Registration

You must be at least 18 years old to use the Service. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

4. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service to distribute malware, spam, or harmful content
• Reverse engineer or attempt to extract source code from the Service
• Exceed your plan's usage limits through automated means
• Resell access to the Service without a Business or Enterprise plan
• Use the Service to generate content that violates the policies of underlying AI providers

6. API Keys and Security

If you provide your own API keys (BYOK mode), you are solely responsible for the security and usage of those keys. AnyAIAgent stores API keys using AES-256 encryption at rest but is not liable for charges incurred through your keys due to unauthorized access to your account.

7. Billing and Payments

• Paid plans are billed monthly via Stripe
• You authorize us to charge your payment method on a recurring basis
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• Unused tokens do not roll over between billing periods unless otherwise specified
• Refunds are provided at our discretion
• Price changes will be communicated at least 30 days in advance

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime caused by third-party services, including AI model providers (Anthropic, OpenAI, Google, DeepSeek).

9. Data and Privacy

Your use of the Service is governed by our Privacy Policy. Key points:

• You retain ownership of your data
• We do not sell your data to third parties
• We do not use your conversations to train AI models
• You can delete your data at any time

10. Intellectual Property

The Service and its original content, features, and functionality are owned by Onyx Capital Holdings Group LLC. You retain all rights to content you create using the Service, including AI-generated outputs created through your account.

11. Termination

We may terminate or suspend your account at any time for violation of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• We will make reasonable efforts to allow you to export your data (30-day grace period)
• Agent data and conversations will be deleted after the grace period

12. Limitation of Liability

To the maximum extent permitted by law, Onyx Capital Holdings Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Onyx Capital Holdings Group LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service at least 30 days before they take effect. Continued use after changes constitutes acceptance.
